Kai Kombucha – B2B Portal Terms & Conditions
By placing an order through the Kai Kombucha B2B Portal (“Portal”), the Buyer agrees to these Terms.
1. Ordering & Acceptance
- Orders submitted through the Portal are treated as firm purchase commitments.
- Orders are fulfilled based on product availability.
- The Seller may accept or decline any order at its discretion.
2. Prices & Payment
- Prices shown are exclusive of tax, unless otherwise stated.
- Payment is due immediately upon invoice, unless a separate written payment arrangement exists.
- Buyer is responsible for any bank transfer or remittance fees.
- For Buyers with approved payment terms, late payments may incur 1% interest per month.
3. Delivery
- Deliveries are handled by third-party logistics providers selected by the Seller.
- Delivery times are estimates only and depend on carrier schedules, traffic, weather, and operational factors.
- The Seller is not responsible for delays caused by the logistics provider.
4. Finality After Shipment
Once an order has been dispatched, it becomes final, non-cancellable, and non-returnable.
The Buyer is responsible for the full invoice amount, regardless of whether the shipment is accepted at delivery.
If delivery is refused, delayed, or cannot be completed for reasons not caused by the Seller, the Buyer is responsible for:
- The full value of the shipped products, and
- Any related logistics charges, including return freight or redelivery fees.
Only Seller-caused errors qualify for correction without cost.
5. Product Storage & Handling
- Kombucha must be refrigerated immediately upon delivery.
- Storage temperature must be 1–7°C at all times.
- Natural variations (sediment, yeast particles, slight differences in carbonation) are normal for fermented beverages and not considered defects.
- The Seller is not responsible for quality issues resulting from improper storage or temperature abuse after delivery.
6. Shelf Life
- Standard shelf life is 180 days from production.
- Products are shipped based on rotation and available stock.
7. Damaged Goods
If products arrive damaged due to logistics handling:
- Buyer must photograph the damage immediately upon receipt.
- Buyer may refuse the shipment with the carrier if damage is evident.
- If the Buyer accepts the shipment, the Seller may, at its discretion, provide a credit toward the Buyer’s next order.
Credits are issued only for genuine transit damage and require photo evidence.
8. Returns
- Returns are not accepted except for verified logistics damage or Seller-caused errors.
- Products affected by improper storage, mishandling, or failure to refrigerate are not eligible for returns or credit.
9. Brand Use
- Buyer may use Kai Kombucha brand assets (menus, product images, logos) solely for promoting Kai Kombucha at the Buyer’s location.
- Brand assets may not be modified or repurposed without written permission.
10. Limitation of Liability
The Seller’s liability is limited to the value of the affected goods or the credit issued.
The Seller is not liable for any indirect or consequential losses, including lost sales, operational disruption, or spoilage due to Buyer storage conditions.
11. Updates to Terms
Kai Kombucha may update these Terms periodically. Continued ordering through the Portal constitutes acceptance of the latest version.
12. Governing Law
These Terms are governed by the laws of Taiwan (R.O.C.).
